Project Sherpa is the new name for Project Radar. The agreement below retains its original wording and version; your existing acceptance is unchanged.
Project Radar by PS Principles
Project Radar Account Agreement
Version 2026-10-07.1 · Effective October 7, 2026
This agreement applies when you create or use a Project Radar account. It supplements the general terms for Project Radar. By completing account setup or connecting a meeting service, you accept this agreement.
1. Your authority and participant rights
You represent that you own the transcripts and related meeting data you connect, or have all rights, permissions, notices, and consents needed for Project Radar to access, store, and assess them. You are solely responsible for complying with recording, transcription, workplace-monitoring, confidentiality, and privacy laws that apply where you record, where each participant is located, and where the meeting takes place. This includes obtaining legally required notice and consent under one-party, two-party, all-party, and similar consent rules before the transcript is made available to Project Radar.
2. Your license to Project Radar
You grant PS Principles a limited, non-exclusive, worldwide, royalty-free right to access connected meeting accounts, retrieve, transmit, and process transcripts and related metadata solely to provide, secure, support, and improve the Project Radar service for you. Account transcripts are retrieved from your connected provider when you view or assess them; you retain your rights in that content.
3. Privacy commitment and purpose limitation
We will use your transcript content only to provide the features you enable, including transcript retrieval, assessment, reporting, account support, security, and legal compliance. We do not sell transcript content or personal data, use it for targeted advertising, or disclose it to unrelated third parties.
We may disclose data only to service providers that are necessary to operate Project Radar, are contractually or otherwise bound to protect it, and may use it only to provide services to us; to integrations you explicitly connect or direct; or where disclosure is required by law. Our providers may include cloud hosting, authentication, payment, email delivery, and AI processing providers.
4. Education, quality, and service improvement
We may retain and use de-identified and aggregated assessment outcomes, product telemetry, and usage patterns only for internal education, quality assurance, safety, and training and improvement of Project Radar's people, processes, and service. This does not permit us to sell, publish, or share your identifiable transcript content, or to use it as general-purpose model-training data. Any manual review of identifiable transcript content for improvement requires your separate, explicit permission.
5. AI and third-party processing
When Project Radar sends content to OpenAI, it uses the OpenAI API and will not opt in to sharing API inputs or outputs for OpenAI model training or improvement. We require third-party processors used to provide Project Radar not to reuse transcript content for their own AI training, model development, advertising, or unrelated purposes. Providers may retain or process limited data only as necessary to deliver the contracted service, enforce abuse and security controls, or comply with law.
6. Security, access, and retention
We will use reasonable administrative, technical, and organizational safeguards appropriate to the nature of the data. Transcript access is restricted to the account owner through Project Radar's access controls. We retain provider references, meeting metadata, your custom titles, and resulting reports, but do not retain transcript bodies after a viewing or assessment request finishes. To view or reassess a transcript, its connected provider must still make it available. Reports remain in your account until you delete them, close the account, or a documented retention policy requires deletion. Backup copies may persist for a limited period before being overwritten.
7. Your responsibilities
Do not connect transcripts that infringe copyright, confidentiality, privacy, publicity, employment, contractual, or other rights; contain unlawfully obtained information; or would cause Project Radar to violate law. Project Radar did not create the original recording or transcript and is not responsible for its original creation, but will use reasonable care not to expose it publicly or to unauthorized parties. Do not use assessment output as the sole basis for employment, legal, financial, medical, safety, or other high-impact decisions. Review outputs with appropriate human judgment.
8. AI outputs
Assessments are generated from the available information and may be incomplete, inaccurate, or unsuitable for a particular purpose. Project Radar does not guarantee that an assessment correctly identifies every risk, person, or statement. You remain responsible for validating results before acting on them.
9. Suspension and removal
We may suspend access to, or remove, content when reasonably necessary to address a rights claim, legal requirement, security concern, or breach of this agreement. We will make reasonable efforts to notify you unless prohibited by law or where notice could create a security risk.
10. Service Credits and account closure
Service Credits (if purchased) are prepaid credits for use with Project Radar services, not a cash deposit or a subscription. Services are charged on completion at their final calculated cost; no Service Credits are reserved in advance. A completed service charge may leave a negative balance. Payments and auto-reloads repay any amount owing before adding usable Service Credits, and may not increase your prepaid credit balance above $20. A payment that also repays an amount owing may exceed $20. Existing credit balances above this limit remain available for use. All Service Credits sales are final. Unused Service Credits are forfeited when you close your account and are not refunded, except where required by law. Account closure cancels active subscriptions and removes access to your remaining Service Credits.

AI-generated output
Project Health uses artificial intelligence. Its output is probabilistic and may contain hallucinations, errors, omissions, unsupported inferences, or incomplete recommendations.

Assessments are recommendations, not guarantees, instructions, or professional advice. You must verify material findings against project records, stakeholders, and your own independent judgment before acting.
Human accountability
You retain human oversight and are ultimately responsible for every decision, action, or omission made in connection with a project, including whether and how a Project Health recommendation is used.
Project outcomes
To the maximum extent permitted by law, Project Radar and PS Principles LLC are not liable for project results, losses, delays, escalations, or other outcomes arising from reliance on an assessment. No assessment guarantees a particular project outcome.

Authorized project data
You are responsible for ensuring that every item of information, task, deliverable, contact, and attachment-free message you place in Customer Portal is authorized for that use. Do not use Customer Portal for information you are not permitted to share with the invited recipients.
Privacy, security, and customer commitments
You must use Customer Portal in accordance with your organization's privacy, security, retention, confidentiality, and access-control policies, where applicable, and with the commitments you have made to each customer. You are responsible for inviting only appropriate people, assigning suitable roles, maintaining accurate team membership, and revoking access when it is no longer appropriate. Customer Portal access must not be used to bypass your organization's controls or a customer's agreed confidentiality boundaries.

Customer Portal is an information-sharing resource. It does not direct, manage, guarantee, or take responsibility for project delivery, decisions, customer commitments, work quality, timelines, or any eventual project outcome.
